1. What is a limited liability company (EOOD/OOD)?

A limited liability company is a commercial company in which the partners are liable for obligations only up to the amount of the contributed capital.

  • EOOD – has a single owner (sole owner of the capital).

  • OOD – has two or more partners.

2. What is the minimum capital requirement for an EOOD/OOD?

The capital of a limited liability company cannot be less than 1 euro. It consists of the partners’ shares, which cannot be less than one eurocent.

3. How long does it take to set up a company?

The registration procedure is relatively fast and usually takes between one and three working days after submitting the documents. When filing electronically, registration is often completed on the same day.

4. What are the required fees for establishing a commercial company?
  • Commercial Register: ~28 € (electronically) / ~56 € (in person)

  • Minimum capital: 1 € (this is not a fee)

  • Bank fee for depositing the capital: ~5–10 € (depending on the chosen bank)

  • Notarization (for signature specimen): ~10–15 €

5. What taxes does the company pay?
  • Corporate tax – 10% on profit

  • Dividend tax – 5% upon profit distribution

  • Social security contributions – for the manager (as a self-insured person or under a management contract)

  • VAT registration – mandatory for a turnover over 100,000 BGN in the last 12 months.

6. Can I register an EOOD/OOD myself?
